Terms of Service

1. Acceptance of terms

These Terms of Service ("Terms") govern your access to and use of the SchoolPadi school management platform ("Service"), operated by SchoolPadi ("we", "us", or "our"). By creating an account, you confirm that you are authorised to act on behalf of your school and that you agree to these Terms in full.

If you do not agree to these Terms, you may not use the Service.

2. Service description

SchoolPadi is a cloud-based school management platform designed for African educational institutions. The Service includes tools for managing student records, academic grades, attendance, timetables, fee collection, teacher workflow, parent communication, and AI-powered lesson planning (Padi-T).

We reserve the right to modify, add, or discontinue features at any time. Where changes materially affect paid functionality, we will provide at least 30 days' advance notice.

3. Accounts & responsibilities

School administrators are responsible for:

• Ensuring accurate information is provided at signup and kept up to date
• Maintaining the confidentiality of administrator credentials
• All activity that occurs under their school's account
• Obtaining necessary consent from students, parents, and staff before entering their personal data into the platform
• Complying with applicable Ghanaian data protection law (Data Protection Act, 2012 — Act 843) when managing personal data

You must be at least 18 years old to create a school account. Student and parent accounts may be created by administrators on behalf of minors.

4. Acceptable use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Attempt to gain unauthorised access to any other school's data or any SchoolPadi system
• Upload or transmit malware, viruses, or any malicious code
• Scrape, reverse-engineer, or copy any portion of the platform without written permission
• Resell or sublicense access to the Service without explicit written agreement
• Use the AI features to generate content that is harmful, discriminatory, or in violation of third-party rights
• Enter false, misleading, or fraudulent student or financial records

5. Subscriptions & billing

SchoolPadi offers a free tier and paid subscription plans. The following applies to paid plans:

• Subscriptions are billed monthly or annually as selected at signup
• All fees are quoted in United States Dollars (USD) or Ghanaian Cedis (GHS) as displayed at time of purchase
• Payments are processed via our authorised payment provider and are subject to their terms
• Subscriptions renew automatically unless cancelled before the renewal date
• Refunds are not provided for partial billing periods, except where required by law
• We reserve the right to change pricing with 30 days' notice to existing subscribers

To cancel your subscription, contact billing@getportals.app or use the account settings page before your next renewal date.

6. Data ownership

You retain full ownership of all data you enter into the platform — student records, grades, fees, and any other school data. We have no claim to your data and will not use it for any purpose other than operating the Service as described in our Privacy Policy.

You may export your school's data at any time using the in-app export tools. Upon account closure, your data is deleted per the retention schedule in our Privacy Policy.

7. Intellectual property

The SchoolPadi platform, including its software, design, branding, and AI features, is the intellectual property of SchoolPadi and its licensors. These Terms do not grant you any rights to our intellectual property beyond a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose.

You retain full ownership of content you create (lesson plans, school documents, etc.). By uploading content to the platform, you grant us a limited licence to store and process it solely to provide the Service to you.

8. Termination

Either party may terminate this agreement at any time:

• By you — by ceasing use of the Service and requesting account deletion at hello@getportals.app
• By us — with 30 days' notice for any reason, or immediately where you have materially breached these Terms

Upon termination, your access to the platform ceases and your data is deleted per our Privacy Policy retention schedule. We recommend exporting your data before requesting account closure.

9. Limitation of liability

The Service is provided "as is" without warranties of any kind. To the maximum extent permitted by law:

• We do not warrant that the Service will be uninterrupted, error-free, or fully secure
• We are not liable for any loss of data, revenue, or profit arising from your use of the Service
• Our total liability to you for any claim under these Terms shall not exceed the fees paid by you in the three months preceding the claim

Nothing in these Terms excludes liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.

10. Governing law

These Terms are governed by and construed in accordance with the laws of the Republic of Ghana. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Ghana.

We encourage resolution of disputes through direct communication first. Contact us at hello@getportals.app before initiating any formal proceedings.

11. Changes to these terms

We may update these Terms from time to time to reflect changes in our Service, applicable law, or business practices. When we make material changes, we will:

• Update the "Last updated" date at the top of this page
• Notify school administrators by email at least 14 days before the changes take effect

Continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must cease using the Service before the effective date.
